RZ Real Estate, LLC, a Texas limited liability company, borrowed $5.3 million from Texas Community Bank N.A. secured by Unit 329, at Arrabelle at Vail Square Residential Condominiums (aka 675 Lionshead Place #329) in Vail, CO.

The Deed of Trust for the loan was signed by Rolando Reyes Kuri and Humberto Zesati Andrade as managers for RZ Real Estate, LLC.

RZ Real Estate LLC did not actually own the condo until the following day.

RZ Real Estate, LLC purchased Unit 329 at 675 Lionshead Place, Vail CO 81657 from M.R. Forest 3, LLC, for $6,975,000.

October 14, 2008

RZ Real Estate, LLC, a Texas limited liability company, took out a second loan secured by Unit 329 from Texas Community Bank, N.A., for the amount of $800,000. Rolando Reyes Kuri and Humberto Zesati Andrade signed the Deed of Trust as the Managers for RZ Real Estate, LLC.

On the same day, a Cross-Default and Cross-Collateralization Agreement was executed that tied the two loans against Unit 329 together with additional collateral. The agreement meant that a default in one loan would be as if the other had also defaulted. It also meant that the each separate loan was secured by all of the collateral together.

The additional collateral consisted of a security interest executed by Rolando Reyes Kuri and Humberto Zesati Andrade to Texas Community Bank, N.A. in two Certificates of Deposit. The value of the Certificates of Deposit was not provided in the Agreement.

Rolando Reyes Kuri and Humberto Zesati Andrade signed the Agreement personally as individual guarantors in addition to signing for RZ Real Estate LLC as its managers.
